NOTICE TO THE MARKET

São Paulo, November 05, 2010 - BRASIL ECODIESEL INDÚSTRIA E COMÉRCIO DE BIOCOMBUSTÍVEIS E ÓLEOS VEGETAIS S.A., a publicly-held company, headquartered in the city and state of São Paulo at Av.

Brigadeiro Faria Lima, nº 1.461, Torre Sul, 4º andar, Pinheiros, CEP: 01452-921, with its shares traded at the BM&FBOVESPA under ticker ECOD3, hereby reports that, in compliance with article 12 of CVM Rule 358, it received on this date the notice attached hereto, dated November 4, 2010, signed by Mr.

Silvio Tini de Araújo, informing that he now holds, directly and indirectly, 10.1% of total common shares issued by the Company.

He acquired said shareholding interest at the BM&FBOVESPA in October 2010.

In the aforementioned notice, Mr.

Silvio Tini de Araújo informs that said shares were acquired with the purpose of holding a minority interest in the Company; therefore said acquisition does not change the Company’s control or management structure.

Brasil Ecodiesel, in compliance with the regulations of the Securities and Exchange Commission of Brazil (CVM) and of the Novo Mercado Special Corporate Governance Segment, will keep shareholders and the market informed of any material developments involving the Company through the Bovespa, the CVM and the company’s investor relations website (www.brasilecodiesel.com.br/ri).
